General Terms and Conditions

1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts between Noxno GmbH, Tannbüel 3, 6403 Küssnacht am Rigi, Switzerland (hereinafter "Provider") and the customer (hereinafter "Customer") for the use of the SaaS platform Noxno (hereinafter "Service").
By registering or using the Service, the Customer accepts these GTC. Deviating conditions of the Customer are not recognized unless the Provider expressly agrees to them in writing.
2. Service Description
The Provider makes available to the Customer a web-based Software-as-a-Service (SaaS) platform that includes functions for the management of business centers, coworking spaces, and similar facilities.
The exact scope of functions depends on the selected plan. The Provider reserves the right to further develop and improve the Service, provided that the essential functions are maintained.
The Service is provided as a cloud solution. Access is through a common web browser.
3. Contract Conclusion and Duration
The contract is concluded by the Customer's registration and confirmation by the Provider.
The minimum term depends on the selected plan. After the minimum term expires, the contract is automatically renewed for the same period unless terminated with 30 days' notice to the end of the respective term.
Termination must be made in writing or by email to kuendigung@noxno.ch.
4. Prices and Payment
Prices are based on the Provider's current price list. All prices are in Swiss Francs (CHF) and exclusive of value-added tax.
Invoices are issued monthly or annually in advance. Payment is due within 30 days of the invoice date.
In case of payment default, the Provider is entitled to suspend access to the Service after prior notice. Fees may be charged for reminders.
The Provider reserves the right to adjust prices with 90 days' advance notice.
5. Data Protection and Security
The Provider processes personal data in accordance with the Swiss Federal Act on Data Protection (nDSG) and, where applicable, the EU General Data Protection Regulation (GDPR).
Customer data is hosted in Switzerland and protected by appropriate technical and organizational measures.

The Customer remains the owner of their data and can export it at any time.
6. Availability
The Provider strives for a service availability of 99.5% annual average (based on core hours Monday to Friday, 06:00 to 22:00 CET). Planned maintenance windows are announced at least 48 hours in advance.
Higher availability guarantees (SLA) can be agreed upon within the Enterprise plan.
7. Liability
The Provider's liability is limited to intent and gross negligence. Liability for slight negligence is excluded to the extent permitted by law.
Liability for indirect damages, consequential damages, lost profits, and data loss is excluded to the extent permitted by law.
The maximum liability of the Provider is limited to the amount paid by the Customer in the last 12 months.
8. Intellectual Property
All rights to the software, including copyrights, patents, and trademarks, remain with the Provider. The Customer receives a non-exclusive, non-transferable right of use for the duration of the contract.
The Customer may not copy, decompile, reverse-engineer, or make the software accessible to third parties.
9. Applicable Law and Jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions.
The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Schwyz, Switzerland.
10. Final Provisions
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
The Provider reserves the right to amend these GTC at any time. Changes will be communicated to the Customer at least 30 days before they take effect.
